These Terms of Service ("Terms") govern access to and use of FlowView Center™, an organization management platform provided and operated by MJOHN SOLUTIONS™.

FlowView Center™ provides organizations with a centralized platform for managing people, administrative information, financial records, communications, organizational activities, and other day-to-day operations.

By creating an Organization account, purchasing or activating a subscription, accepting an invitation to use FlowView Center™, or otherwise accessing or using the Service, you agree to these Terms.

If you access or use FlowView Center™ on behalf of an Organization, you represent that you have appropriate authority to use the Service on behalf of that Organization and, where applicable, to accept these Terms on its behalf.

1. Definitions

For purposes of these Terms:

"FlowView Center" or "Service" means the FlowView Center™ platform and the websites, software, applications, tools, features, integrations, communications systems, databases, administrative interfaces, and related services provided by MJOHN SOLUTIONS™.

"MJOHN SOLUTIONS," "we," "us," or "our" means MJOHN SOLUTIONS™ as the provider and operator of FlowView Center™.

"Organization," "you," or "your" means the entity that creates, subscribes to, maintains, or otherwise uses an organizational account through the Service.

Organizations may include churches, ministries, nonprofit organizations, religious organizations, charitable organizations, associations, community organizations, educational organizations, programs, clubs, and other entities using the Service for legitimate organizational purposes.

"Authorized User" means an individual who has been granted permission by an Organization to access some or all of its FlowView Center™ account.

"Administrator" means an Authorized User who has been granted administrative privileges within an Organization's account.

"Organization Data" means information, records, documents, files, financial information, contact information, membership information, communications, and other content entered, uploaded, generated, transmitted, or maintained by or on behalf of an Organization through the Service.

"Subscription" means a paid or otherwise authorized plan providing access to specified features or functionality of the Service.

2. The Service

FlowView Center™ is designed to provide Organizations with a centralized environment for managing administrative and operational information.

Depending on the Organization's plan, configuration, and enabled features, the Service may include tools for managing:

  • Individuals, members, participants, donors, volunteers, staff, and contacts;
  • Families and households;
  • Contact information and directories;
  • Birthdays, anniversaries, and other important dates;
  • Contributions, donations, and giving records;
  • Funds and financial categories;
  • Expenses, payments, checks, and transaction records;
  • Financial and administrative reports;
  • Communications and announcements;
  • Text messaging and other communication services;
  • Documents and organizational records;
  • User accounts;
  • Roles and permissions;
  • Organizational activities and events;
  • Data exports and backups;
  • Reporting and recordkeeping;
  • Integrations with supported third-party services; and
  • Other organizational, administrative, communication, or financial functions made available through the Service.

Not every feature is available to every Organization.

Features may vary by subscription, account configuration, technical requirements, third-party availability, or optional services.

Certain features may require separate activation, registration, approval, configuration, or additional fees.

3. Organization Accounts

Each Organization maintains its own account or workspace within FlowView Center™.

An Organization may be assigned a dedicated web address, subdomain, account identifier, or other method of accessing its workspace.

Organization Data is intended to remain logically separated from the records belonging to other Organizations.

Access to an Organization's account is limited to users authorized by that Organization and other access reasonably necessary for MJOHN SOLUTIONS™ to operate, secure, support, and maintain the Service.

Access to one Organization does not automatically provide access to another Organization.

An individual associated with multiple Organizations must receive appropriate authorization for each Organization separately.

4. Organization Responsibility

Each Organization is responsible for determining how it uses FlowView Center™.

This includes responsibility for:

  • Selecting its Administrators;
  • Creating and managing Authorized Users;
  • Assigning appropriate roles and permissions;
  • Determining who may access financial or sensitive information;
  • Maintaining accurate organizational information;
  • Removing access when it is no longer appropriate;
  • Protecting account credentials;
  • Maintaining appropriate internal policies;
  • Reviewing records for accuracy;
  • Determining what information should be retained;
  • Maintaining appropriate independent backups; and
  • Using the Service in compliance with applicable laws and organizational requirements.

MJOHN SOLUTIONS™ provides the platform and its functionality but does not manage the Organization's internal governance, personnel, financial controls, leadership decisions, or access policies.

5. Administrators

Administrators may have broad authority over an Organization's account.

Depending on available permissions, Administrators may be able to:

  • Create or remove users;
  • Assign roles and permissions;
  • View or modify Organization Data;
  • Access financial information;
  • Manage communications;
  • Configure account settings;
  • Manage subscriptions;
  • Enable optional services;
  • Export records;
  • Download backups; and
  • Perform other administrative actions.

Organizations should grant administrative access only to individuals they trust.

The Organization is responsible for reviewing administrative access whenever there are changes in leadership, employment, volunteer responsibilities, financial responsibilities, or other circumstances affecting access.

6. Authorized Users and Account Security

Authorized Users should use their own accounts where individual user accounts are supported.

Users must not knowingly provide their passwords, authentication credentials, access links, or other security information to unauthorized individuals.

Organizations and Authorized Users are responsible for taking reasonable precautions to protect their accounts.

If an Organization believes that an account has been compromised, accessed without authorization, or otherwise presents a security concern, it should notify MJOHN SOLUTIONS™ promptly.

We may temporarily restrict access to an account when reasonably necessary to investigate or address a suspected security issue.

7. Roles and Permissions

FlowView Center™ may provide role-based or permission-based access controls.

An Organization may, for example, permit certain users to maintain contact records while restricting financial information to authorized financial personnel.

The Organization determines which permissions are appropriate for each Authorized User.

MJOHN SOLUTIONS™ does not determine which individuals within an Organization should be permitted to access membership, donor, financial, administrative, communication, or other sensitive records.

Organizations should periodically review user permissions.

8. Ownership of Organization Data

Your Organization's records remain your Organization's records.

As between MJOHN SOLUTIONS™ and the Organization, the Organization retains its rights in Organization Data.

Using FlowView Center™ does not transfer ownership of the Organization's records to MJOHN SOLUTIONS™.

The Organization grants MJOHN SOLUTIONS™ the limited rights reasonably necessary to host, store, process, transmit, reproduce, back up, secure, restore, and otherwise handle Organization Data for purposes of providing, maintaining, supporting, securing, and improving the Service and complying with applicable legal obligations.

This permission does not transfer ownership of Organization Data to MJOHN SOLUTIONS™.

9. How We Handle Organization Data

MJOHN SOLUTIONS™ does not sell an Organization's private records for advertising purposes.

We do not use private membership, donor, contribution, or financial records to create third-party advertising profiles.

Authorized MJOHN SOLUTIONS™ personnel or service providers may access or process Organization Data when reasonably necessary to:

  • Provide the Service;
  • Respond to an Organization's support request;
  • Diagnose or correct technical problems;
  • Maintain or restore systems;
  • Maintain backups;
  • Protect account security;
  • Investigate suspected unauthorized access;
  • Prevent fraud or abuse;
  • Maintain the reliability and integrity of the Service;
  • Comply with applicable legal obligations; or
  • Protect MJOHN SOLUTIONS™, our customers, users, or systems.

Access is intended to be limited to what is reasonably necessary for the applicable purpose.

Our Privacy Policy may provide additional information regarding the collection, processing, storage, and protection of information.

10. Organization Responsibility for Personal Information

Organizations may maintain information concerning members, donors, visitors, volunteers, employees, families, participants, customers, or other individuals.

The Organization is responsible for determining whether it has an appropriate basis to collect, maintain, use, or communicate that information.

Where consent, notice, permission, authorization, or another legal basis is required, obtaining and maintaining it is the responsibility of the Organization unless MJOHN SOLUTIONS™ expressly agrees otherwise in writing.

Organizations should avoid storing personal information that is unnecessary for their legitimate activities.

11. Information Concerning Minors

Organizations may maintain information involving children or minors where appropriate for their legitimate activities.

The Organization is responsible for determining whether parental or guardian consent, notice, permission, or other authorization is required.

Organizations should limit information concerning minors to what is reasonably necessary for legitimate organizational purposes and should apply appropriate access restrictions.

12. Financial Records

FlowView Center™ may provide tools for maintaining financial and transaction-related records, including contributions, donations, funds, expenses, checks, payments, categories, and reports.

The Organization remains responsible for:

  • The accuracy of information entered;
  • Reviewing financial records;
  • Correcting errors;
  • Maintaining appropriate internal controls;
  • Determining appropriate financial categories;
  • Reconciling information where appropriate;
  • Maintaining legally required records; and
  • Complying with applicable accounting, tax, charitable, and reporting requirements.

FlowView Center™ is a recordkeeping and organization-management platform.

MJOHN SOLUTIONS™ is not an accounting firm, bank, financial institution, tax preparer, investment adviser, or legal adviser merely because an Organization uses financial features within the Service.

Organizations should obtain appropriate professional advice when necessary.

13. Contributions and Giving Records

Organizations may use FlowView Center™ to record contributions, donations, pledges, or other forms of giving.

The Organization is responsible for determining how transactions are categorized and whether information is accurate.

The Organization is also responsible for determining whether contribution statements, receipts, acknowledgments, tax documentation, or other records are required.

Reports and statements generated by FlowView Center™ depend upon the information contained in the Organization's account.

Organizations should review reports and statements before distributing or relying upon them.

14. Data Export and Portability

We believe Organizations should be able to retain copies of their own records.

Where supported by the Service, authorized users may export, print, download, or otherwise obtain copies of Organization Data.

Available export formats may vary depending on the type of information and features being used.

Organizations are encouraged to periodically export records they consider important.

15. Backups

MJOHN SOLUTIONS™ may maintain regular system backups for disaster recovery, operational continuity, security, restoration, and related purposes.

Backup frequency and retention may vary based on infrastructure and operational requirements.

Organizations should not rely exclusively on MJOHN SOLUTIONS™ system backups as their only method of preserving essential records.

Where backup or export functionality is available, Organizations are encouraged to maintain independent copies of important information.

16. Account Closure and Data Deletion

An authorized Administrator may request closure of an Organization's FlowView Center™ account.

Organizations should export any information they wish to retain before requesting deletion.

After a verified deletion request is processed, Organization Data associated with the active account will be scheduled for deletion from production systems.

Residual copies may temporarily remain within backups, logs, caches, disaster-recovery systems, security records, or other technical systems.

Unless a longer period is reasonably necessary for security, fraud prevention, legal compliance, dispute resolution, or technical recovery, backup copies associated with deleted accounts will generally expire according to our normal backup-retention process.

Deletion from backup systems may not occur immediately because backup systems are designed to preserve historical recovery points.

17. Subscriptions

Certain features of FlowView Center™ may require a paid Subscription.

Subscription plans may differ in price, features, limits, storage, communication services, support, integrations, or other functionality.

Applicable pricing and included features will be presented when an Organization subscribes or otherwise agrees to a paid plan.

Unless otherwise stated, recurring subscriptions are billed in advance for the applicable billing period.

Applicable taxes or governmental charges may be added where required.

18. Subscription Changes

Organizations may be permitted to upgrade, downgrade, or otherwise change their Subscription.

Changes may affect available features, account limits, storage, communication allowances, integrations, or other functionality.

The timing and billing effect of a plan change may depend on the applicable subscription terms presented at the time of the change.

19. Cancellation

Organizations may cancel recurring subscriptions using available account controls or by contacting MJOHN SOLUTIONS™.

Unless otherwise stated, cancellation prevents future renewal charges and does not immediately terminate access to the period already paid for.

The Organization will generally retain applicable paid access until the end of the current billing period.

Except where required by law or expressly agreed otherwise, unused portions of a billing period are not automatically refundable.

20. Failed or Overdue Payments

If a payment fails, MJOHN SOLUTIONS™ may provide a reasonable grace period to allow the Organization to update its payment information.

Notices may be provided through FlowView Center™, email, or another available communication method.

If payment remains unresolved, some functionality may be restricted.

Where supported, the Organization's account may be placed into a read-only state rather than immediately becoming inaccessible.

During a read-only period, Authorized Users may be permitted to sign in, review information, print records, generate available reports, and export or download available Organization Data while editing functionality is restricted.

Organization Data will not be automatically deleted solely because a subscription payment fails.

Long-term inactive accounts may eventually become subject to applicable retention policies following reasonable notice.

21. Optional Text Messaging Services

FlowView Center™ may offer SMS or text messaging as an optional feature or paid add-on.

Messaging services may involve third-party telecommunications providers and may require registration, verification, campaign approval, telephone-number approval, or other carrier requirements.

Where applicable, MJOHN SOLUTIONS™ or its service providers may assist with:

  • Messaging registration;
  • Telephone-number configuration;
  • Message transmission;
  • Delivery information;
  • Opt-out processing; and
  • Other technical requirements necessary to provide messaging services.
22. Organization Responsibility for Messaging

Organizations are responsible for messages they send through FlowView Center™.

Organizations must send messages only where they have an appropriate right or authorization to do so.

Organizations are responsible for obtaining and maintaining any consent required by applicable law, carrier requirements, or messaging-industry standards.

The Service must not be used to send unlawful, fraudulent, deceptive, threatening, abusive, misleading, or unsolicited communications.

Organizations must not knowingly misrepresent the sender or purpose of a communication.

23. Messaging Opt-Outs

Recipients must be provided with appropriate ways to stop receiving messages where required.

When supported by our messaging providers, recognized responses such as STOP may automatically prevent additional messages from being sent to that number.

Organizations must respect valid opt-out requests and must not intentionally circumvent messaging restrictions.

MJOHN SOLUTIONS™ may restrict or disable messaging functionality when reasonably necessary because of unlawful activity, excessive complaints, carrier requirements, provider restrictions, abuse, or violations of these Terms.

24. Carrier Approval

Messaging registration and carrier approval are controlled in part by third-party telecommunications providers.

Approval times vary and may take several days or weeks.

Applications may be delayed, rejected, suspended, or require additional information.

MJOHN SOLUTIONS™ cannot guarantee approval or a specific approval timeframe.

Where messaging is offered as a recurring paid service, applicable charges may continue while the feature remains enabled unless otherwise stated in the Organization's plan.

25. Email and Other Communications

FlowView Center™ may provide email, notification, announcement, or other communication functionality.

Organizations are responsible for the content they send and for ensuring that communications are appropriate and lawful.

Third-party email or communications providers may impose their own technical restrictions, delivery policies, usage limits, or acceptable-use requirements.

MJOHN SOLUTIONS™ cannot guarantee that every communication will be delivered, opened, or received.

26. Third-Party Services

FlowView Center™ may rely upon or integrate with third-party services, including hosting providers, payment processors, communications providers, telecommunications carriers, email providers, storage services, authentication providers, APIs, or other technology platforms.

Third-party services may be subject to their own terms, privacy policies, technical requirements, availability, and limitations.

Changes or interruptions affecting a third-party provider may affect related FlowView Center™ functionality.

MJOHN SOLUTIONS™ may replace, modify, or discontinue integrations where reasonably necessary.

27. Acceptable Use

Organizations and Authorized Users may use FlowView Center™ only for lawful and legitimate purposes.

Users may not:

  • Attempt to gain unauthorized access to another Organization's account;
  • Access information they are not authorized to access;
  • Circumvent security or permission controls;
  • Introduce malware or malicious software;
  • Interfere with the Service or its infrastructure;
  • Conduct unauthorized vulnerability or penetration testing;
  • Send spam or unlawful communications;
  • Use the Service for fraudulent or deceptive activity;
  • Harass, threaten, exploit, or impersonate others;
  • Upload information they have no right to use;
  • Abuse APIs, integrations, or automation functionality;
  • Attempt to disrupt another customer's use of the Service; or
  • Use FlowView Center™ in a manner that materially threatens its security, reliability, integrity, or availability.
28. Security

MJOHN SOLUTIONS™ uses reasonable administrative, technical, and organizational safeguards intended to protect the Service and Organization Data.

However, no online platform, network, database, storage system, or method of electronic transmission can be guaranteed to be completely secure.

Organizations share responsibility for protecting their accounts by maintaining secure credentials, limiting access, protecting devices, reviewing user permissions, and promptly reporting suspected unauthorized access.

29. Service Availability

MJOHN SOLUTIONS™ works to maintain the reliability and availability of FlowView Center™.

However, continuous or uninterrupted operation cannot be guaranteed.

The Service may occasionally be unavailable because of:

  • Scheduled maintenance;
  • Emergency maintenance;
  • Software updates;
  • Security updates;
  • Hosting interruptions;
  • Internet failures;
  • Telecommunications failures;
  • Third-party service interruptions;
  • Infrastructure changes;
  • Equipment failures;
  • Security incidents; or
  • Events outside our reasonable control.

Where reasonably practical, advance notice may be provided for significant scheduled maintenance.

30. Changes to the Service

FlowView Center™ will continue to evolve.

MJOHN SOLUTIONS™ may add, modify, redesign, replace, limit, or discontinue features to improve the Service, maintain security, respond to technical requirements, comply with legal obligations, respond to third-party changes, or support continued development.

We will make reasonable efforts to avoid changes that unnecessarily prevent Organizations from accessing important records.

Where a material change significantly affects paid functionality, we may provide advance notice when reasonably practical.

31. Suspension of Access

MJOHN SOLUTIONS™ may temporarily restrict or suspend access when reasonably necessary to:

  • Address a security threat;
  • Prevent unauthorized access;
  • Protect Organization Data;
  • Prevent fraud or abuse;
  • Protect other Organizations;
  • Address unlawful activity;
  • Respond to a material violation of these Terms;
  • Comply with applicable legal obligations;
  • Respond to carrier or provider requirements; or
  • Protect the stability or integrity of FlowView Center™.

Where circumstances reasonably permit, we will attempt to notify the affected Organization.

Immediate action may be taken where delay could create a material security, legal, operational, or safety risk.

32. Account Ownership and Administrative Disputes

Organizations are responsible for determining who has authority to administer their accounts.

If a dispute arises concerning account ownership, leadership, administrative authority, or access, MJOHN SOLUTIONS™ may temporarily restrict administrative changes while the matter is reviewed.

We may request reasonable documentation establishing authority to act on behalf of the Organization.

MJOHN SOLUTIONS™ does not resolve internal organizational, leadership, employment, membership, board, governance, or ownership disputes.

Where authority cannot reasonably be determined, we may require the Organization or affected parties to resolve the matter independently before administrative control is changed.

33. Confidentiality Within the Organization

FlowView Center™ may contain confidential or sensitive information.

Authorized Users should access and use Organization Data only to the extent permitted by their Organization.

Users should not improperly disclose, copy, distribute, download, or use information obtained through FlowView Center™.

Organizations are responsible for establishing their own confidentiality and information-access policies.

34. No Professional Advice

FlowView Center™ provides administrative, organizational, recordkeeping, reporting, and communication tools.

Information, reports, calculations, templates, categories, summaries, or other functionality provided through the Service do not constitute individualized legal, accounting, tax, financial, regulatory, or other professional advice.

Organizations remain responsible for obtaining qualified professional advice where appropriate.

35. Intellectual Property

FlowView Center™, including its software, interface, designs, branding, documentation, workflows, functionality, source code, and other proprietary components, is owned by or licensed to MJOHN SOLUTIONS™ and is protected by applicable intellectual-property laws.

These Terms provide a limited right to access and use the Service according to the Organization's applicable Subscription or authorization.

They do not transfer ownership of FlowView Center™ or MJOHN SOLUTIONS™ intellectual property to the Organization.

Organization Data remains subject to the ownership provisions described in these Terms.

36. Feedback and Suggestions

Organizations and users may voluntarily provide suggestions, recommendations, ideas, or feedback regarding FlowView Center™.

MJOHN SOLUTIONS™ may use such feedback to develop, maintain, modify, or improve the Service without an obligation to compensate the person providing it.

Providing feedback does not give MJOHN SOLUTIONS™ ownership of the Organization's private records or Organization Data.

37. Service Disclaimer

MJOHN SOLUTIONS™ aims to provide a dependable and useful Service.

Except where expressly stated in a separate written agreement or where applicable law requires otherwise, FlowView Center™ is provided on an "as available" basis.

We do not guarantee that the Service will always operate without interruption or error or that every feature will remain compatible with every browser, device, operating system, network, integration, or third-party service.

Nothing in these Terms excludes warranties, protections, rights, or remedies that cannot legally be excluded.

38. Limitation of Liability

To the maximum extent permitted by applicable law, MJOHN SOLUTIONS™ will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of or inability to use FlowView Center™.

This may include, where legally permitted, loss of revenue, profits, business opportunities, goodwill, or data resulting from circumstances outside our reasonable control.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded.

Any different liability terms expressly established in a separately executed written agreement with an Organization will apply according to that agreement.

39. Organization's Responsibility for Independent Records

FlowView Center™ is intended to assist Organizations with managing information but should not be treated as the sole permanent repository for records that an Organization is legally required to preserve.

Organizations are responsible for determining applicable record-retention requirements and maintaining independent copies where appropriate.

The availability of backup functionality does not transfer an Organization's record-retention responsibilities to MJOHN SOLUTIONS™.

40. Termination by the Organization

An Organization may stop using FlowView Center™ and close its account subject to applicable subscription and account requirements.

Before closing an account, the Organization should export any records it wishes to retain.

Termination does not automatically create a right to a refund for amounts previously paid except where required by applicable law or expressly agreed otherwise.

41. Discontinuation of FlowView Center™

If MJOHN SOLUTIONS™ permanently discontinues FlowView Center™, we will make reasonable efforts to provide affected Organizations with advance notice.

Where reasonably possible, Organizations will be provided an opportunity to export or download their Organization Data before permanent shutdown.

The amount of notice may depend upon the circumstances, including emergencies, security incidents, legal requirements, or the failure or discontinuation of essential third-party infrastructure.

42. Electronic Communications

By using FlowView Center™, Organizations and Authorized Users agree that MJOHN SOLUTIONS™ may provide service-related communications electronically.

These communications may include:

  • Account notices;
  • Security alerts;
  • Billing notices;
  • Subscription information;
  • Maintenance notices;
  • Service announcements;
  • Support communications; and
  • Important changes to the Service or these Terms.

Certain operational communications may be necessary to administer the Service and may be separate from optional marketing communications.

43. Relationship Between the Parties

MJOHN SOLUTIONS™ provides FlowView Center™ as an independent service provider.

Use of the Service does not create a partnership, joint venture, employment relationship, agency relationship, fiduciary relationship, denominational relationship, or organizational affiliation between MJOHN SOLUTIONS™ and an Organization.

Each Organization remains independently responsible for its own leadership, governance, operations, finances, personnel, communications, activities, and decisions.

44. Governing Law

These Terms and any dispute arising from or relating to the Service are governed by the laws of the Commonwealth of Massachusetts, United States, except where applicable law provides otherwise.

Organizations are responsible for ensuring that their use of the Service complies with laws and regulations applicable to them.

45. Separate Written Agreements

An Organization may have a separate written service agreement, proposal, order form, subscription agreement, enterprise agreement, data-processing agreement, or other contract with MJOHN SOLUTIONS™.

If a separately executed written agreement expressly conflicts with these Terms, the applicable provision of that written agreement will control to the extent of the conflict.

46. Changes to These Terms

MJOHN SOLUTIONS™ may update these Terms periodically to reflect changes to FlowView Center™, our business operations, security practices, third-party requirements, or applicable laws.

The current version will be made available through FlowView Center™ or an associated website.

Where changes materially affect existing customers' rights or obligations, we may provide additional notice through the Service, email, or another reasonable method.

Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

47. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

48. No Waiver

If MJOHN SOLUTIONS™ does not immediately exercise or enforce a right or provision under these Terms, that does not waive our right to exercise or enforce it later.

49. Entire Agreement

These Terms, together with the applicable Privacy Policy, Subscription terms, order forms, and any separately executed agreements, constitute the agreement governing an Organization's use of FlowView Center™.
